TERMS AND CONDITIONS OF USE

1. INTRODUCTION

• This website (the "Website"), is owned operated and maintained by 4Networking Limited (“4Networking”). 4Networking provides a networking service (“Networking Service”) that enables owners and representatives of local businesses to:
  • Access the website;
  • Register to become a member of groups of other users of the website (“Networking Groups”);
  • Attend meetings and other events of Networking Groups.
• By accessing, registering and using the Website, and participating in the Networking Service, you agree to be bound by these terms and conditions.

2. REGISTRATION AND MEMBERSHIP

• Upon registration you will:
  • become a member of the Networking Service (“Member”)
  • A member is an individual, not an organisation.
  • Transfer of membership between individuals of the same organisation can be carried out subject to the prevailing administration fee
  • An individual's membership cannot be 'substituted' by another individual - whether from the same organisation or not.
  • be conferred a membership status (“Membership Status”) corresponding to the subscription fee paid (“Subscription Fee”); and
  • be able to participate in a number of aspects of the Networking Service corresponding to your Membership Status.
• Your Membership continues indefinitely, and your Subscription Fee shall continue to be payable unless:
  • You provide us with written notice of termination of your membership; or
  • We terminate your membership in accordance with these terms,

  and in either case you shall not be entitled to a refund of any part of the subscription fee paid or payable.

3. WARRANTIES: You warrant that:-

• All registration details that you provide to us are true and correct and you will keep the information updated;
• Your use of the Website and the Networking Service does not violate these terms and conditions nor breach any applicable laws;
• You own all intellectual property rights in the content or that you have a licence from the owner of the intellectual property rights to post upload and display such content on the Website and the grant of the licence pursuant to sub clause 4.4 will not infringe the intellectual property rights of any other person.

4. CONTENT: In relation to content posted by you on the Website:-

• You are responsible for all information which you post or upload or display to the Website;
• You will not post any material which is false, defamatory, inaccurate, abusive, vulgar, harassing, obscene, threatening, invasive of a person's privacy, pornographic, or otherwise in violation of any UK Laws relating to on-line conduct and with any applicable international laws (“Applicable Laws”).
• You grant other users of the Website and the Networking Service the right to access the content;
• You grant us a non exclusive royalty free sub-licensable perpetual worldwide licence to use modify, publish, public on display and distribute such content on and through the Website and in any other form or medium.

• You will not upload post or otherwise display any content which contain software viruses, or any that contains chain letters, bulk mail, junk mail, spam or similar.

5. ACCESS RESTRICTION, SUSPENSION, TERMINATION AND ALTERATION

• 4Networking may at any time without notice and for any reason deny you access to the Website.
• You agree that we may delete, edit, lock move or remove any content without notice and for any reason and/or to record the IP
  address from which any content is posted, uploaded or displayed without notice and for any reason, (including, without limitation) content which is in breach of these terms.
• If you are in breach of any of these terms, 4Networking may reveal your identity or any other related information collected on this service and to such extent such action constitutes processing for the purpose of the Data Protection Act you hereby consent to such processing. • 4Networking may at any time without notice and for any reason restrict or terminate your access to any aspect of the Networking Service including (without limitation) your access to a Networking Group and your participation in Networking Group meetings.
• Without limiting clause 5.4 if any meeting of a Networking Group to which you have subscribed is discontinued ("Previous Networking Group") during the period of your membership (other than by termination by reason of a breach by you of these terms), the unexpired period of your membership will be credited to membership of another Networking Group (to be selected by us at our discretion) ("New Networking Group").
• If the New Networking Group customarily meets at a location exceeding 10 miles from the Old Networking Group Meeting location we agree to upgrade your Membership Status by one level or, if you already hold the highest Membership Status then your membership period will be extended by 3 months.
• You shall not be entitled to a refund of any amount corresponding to the unexpired portion of your membership if your access to the Website and/or the Networking Service is restricted, suspended or terminated or if your Networking Group is altered in accordance with this clause.

6. INDEMNITY AND EXCLUSION OF LIABILITY

• Use of the Website and the Networking Service is at your own risk. Both are provided on an "as is" basis.
• You are solely responsible for how you interact with other users of the Website and the Networking Service.
• 4Networking disclaims all liability whatsoever whether arising in contract, tort (including negligence) as a result of or in connection with the Website and/or the Networking Service for any economic loss, loss of goodwill or reputation, or special or indirect or consequential loss or otherwise and all implied warranties terms and conditions relating to the Website and the Networking Service are hereby excluded. In particular 4Networking accepts no responsibility for any loss or damage sustained by you as a result, directly or indirectly arising out of:-
  • the conduct of any user of the Website;
  • any technical or other failure of the Website
  • your attendance at events and meetings with other users of the Website and Networking Service. 4networking does not provide any warranty as to the fitness or otherwise of the venue nor the owner and/or operator of the venue at which Networking Group meetings take place
  • Any dealings that you have with any users of the Website and/or the Networking Service
  • Any subsequent arrangements, contracts, agreements or business relationships that you enter into with any person (whether a Member or otherwise) as a result of or facilitated by your use of the Website or Networking Service.
• If 4Networking is found to be liable to you directly or indirectly in relation to the Website or the Networking Service that liability shall be limited to the annual Subscription Fee.
• Nothing in these terms shall limit liability for death or personal injury caused by negligence.
• You agree to indemnify us in full and on demand against any loss, damage, costs or expenses which we suffer or incur directly or indirectly as a result of your use of the Website and the Networking Service.

7. GENERAL

• We may update these terms from time to time at our discretion. Amended terms shall become effective as soon as they are placed upon the Website and your continued use of the Website and the Networking Service constitutes acceptance by you of the updated terms.
